1. Agreement to Terms

By accessing or using CallHawk AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

CallHawk AI provides call analytics for businesses. We analyze call recordings that you provide access to through phone system integrations, using automated AI systems and third-party AI service providers to extract insights about booking outcomes, agent performance, and customer interactions. By using the Service, you acknowledge that your data will be processed by these automated systems as described in our Privacy Policy.

3. Your Responsibilities

By using the Service, you represent and warrant that:

  • Consent to Record: You have obtained all necessary consents and have a legal basis to record calls in accordance with applicable federal, state, and local laws, including but not limited to two-party consent laws where applicable.
  • Authorization: You have the right to share call recordings with third-party services for analysis, and have provided any required disclosures to call participants.
  • Data Accuracy: Information you provide to us is accurate and you will keep your account information current.
  • Compliance: Your use of the Service complies with all applicable laws and regulations, including but not limited to privacy laws, telecommunications regulations, and industry-specific requirements (e.g., HIPAA, PCI-DSS).
  • Sensitive Data: You understand that call recordings may contain sensitive information. While we employ automated measures to detect and redact certain sensitive data (such as payment card numbers), you are responsible for your own regulatory compliance and should not rely solely on our redaction measures.

4. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload recordings without proper consent from all required parties
  • Attempt to gain unauthorized access to our systems or other users' data
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to store or transmit malicious code
  • Resell or redistribute the Service without authorization

5. Data Processing and Third-Party Providers

We process call recordings and related data on your behalf as a service provider (data processor). You retain ownership of your data. Our use of your data is limited to providing and improving the Service. See our Privacy Policy for full details on how we collect, use, and protect your information.

Third-Party AI Providers: We use third-party AI service providers, including OpenAI, to process user-submitted content (such as call recordings and transcripts) in order to deliver our core analytics services. These providers act as service providers (data processors) on our behalf and are contractually prohibited from using your data for their own purposes or for training their models.

Payment Processing: Payments are processed by Stripe, Inc. and, where applicable, via cryptocurrency (Bitcoin). Your payment information is handled directly by these processors and is not stored on our servers.

Data Location: Your data is stored and processed in the United States.

6. Security and Breach Notification

We implement reasonable security measures to protect your data. In the event of a security breach that affects your data, we will notify you as required by applicable law and take appropriate steps to address the incident.

7. Payment and Billing

Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay the fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as explicitly stated in these Terms.

8. Intellectual Property

The Service, including its design, features, and content (excluding your data), is owned by CallHawk AI and protected by intellectual property laws. You retain all rights to your call recordings and data. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLHAWK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • The accuracy or reliability of AI-generated insights
  • Any third-party conduct or content on the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless CallHawk AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your failure to obtain proper consent for call recordings
  • Any claim that your use of the Service infringed on third-party rights
  • Your failure to comply with PCI-DSS, HIPAA, or other regulatory requirements

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

You should not use the Service as the sole basis for employment decisions, disciplinary actions, terminations, or other consequential business decisions. We do not guarantee the accuracy, completeness, or reliability of any analysis or recommendations provided by the Service. You are responsible for independently verifying any insights before taking action.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may request an export of your data prior to termination.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

15. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CallHawk AI regarding the Service and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service interruptions.
